These Terms & Conditions (“Terms”) govern access to and use of Silicon Valley Tek (“SVT,” “we,” “us,” or “our”), a marketplace and commerce platform operated by Neurajack LLC. By accessing the website, creating an account, submitting a listing or service, requesting a quote, or placing an order, you agree to these Terms and all policies incorporated by reference.
1. Marketplace Roles
SVT may sell equipment from its own inventory and may also provide a marketplace where independent third-party sellers and service providers offer products or services. The seller or provider identified on a listing is responsible for the accuracy of its listing and for performing its obligations. When Neurajack LLC / SVT is identified as the seller, Neurajack LLC is the seller of record. When a third party is identified as the seller or provider, the underlying product or service transaction is between that party and the buyer or customer, except for payment, administrative, dispute-resolution, or other marketplace functions SVT expressly agrees to perform.
Administrative approval of a seller, product listing, provider, service offer, or request is a marketplace moderation step and is not a certification, endorsement, engineering approval, calibration certificate, or guarantee of performance.
2. Eligibility; Accounts; Security
You must provide accurate information, maintain the confidentiality of your credentials, and promptly notify SVT of suspected unauthorized access. One SVT account may be used as a buyer, seller, and service provider, subject to the applicable approval requirements. SVT may require email verification, identity or business verification, anti-fraud checks, payment verification, or additional information before allowing transactions or payouts.
You may not create accounts through bots, automated scripts, false identities, impersonation, credential stuffing, scraping, or other abusive methods. SVT may suspend or terminate accounts and cancel suspicious transactions to protect users and the platform.
3. Listings; Product Information; Pre-Owned Equipment
Scientific, laboratory, photonics, semiconductor, biomedical, electronics, mechanical, and industrial equipment may be pre-owned, discontinued, modified, calibrated to an earlier date, missing accessories, or intended for specialized professional use. Buyers are responsible for reviewing the listing, photographs, included accessories, condition, model/part number, electrical requirements, software/driver requirements, compatibility, calibration status, regulatory requirements, and intended application before purchase.
Unless a listing expressly states otherwise, SVT does not represent that an item has a current calibration certificate, current manufacturer support, current software license, current firmware entitlement, regulatory approval for a particular use, or compatibility with a buyer’s existing system. References to manufacturer specifications are informational and do not expand the express terms of the specific listing.
4. Prices; Marketplace Fees; Taxes
Prices are shown in the currency displayed at checkout. Any buyer marketplace service fee, shipping charge, insurance, handling charge, tax, duty, or other amount will be disclosed before payment when reasonably determinable. Marketplace fees are separate from taxes. Sellers may also be charged marketplace fees under the Seller Terms & Payout Policy.
Sales tax is calculated using the information available at checkout and applicable tax-service rules. International buyers are responsible for customs duties, import taxes, brokerage charges, and other destination-country charges unless the listing expressly states otherwise.
5. Payments; Authorization; Fraud Review
Payments may be processed by WooPayments, Stripe, PayPal, or another approved payment provider. Payment providers may impose their own terms, identity checks, fraud controls, reserves, limits, or restrictions. SVT does not store complete payment-card numbers in the SVT marketplace plugin. Orders may be held, declined, cancelled, or refunded when payment is not authorized, fraud is suspected, verification cannot be completed, inventory is unavailable, a listing contains a material error, or performance would violate law.
6. Shipping; Delivery; Pickup; Risk
Shipping method, price, estimated lead time, pickup availability, and delivery terms are listing-specific. Delivery dates are estimates unless expressly guaranteed in writing. If merchandise cannot be shipped within the promised period, or within the period required by applicable law when no shipment time is stated, SVT or the applicable seller will provide any notice, consent opportunity, cancellation, or refund required by law.
Local pickup and special delivery are subject to scheduling, identity verification, payment clearance, product size, location, and any conditions shown on the website. Buyers must inspect packages promptly and preserve packaging and evidence for carrier claims.
7. 30-Day Return & 30-Day Limited Warranty — Marked Products Only
The 30-day return and 30-day limited warranty apply only to products specifically marked with the “30-Day Return / Limited Warranty” notice on the product page before purchase. For those marked products, the customer may request a return within 30 calendar days after confirmed delivery, and the product is covered by the stated 30-day limited warranty during the same 30-day period, subject to the Returns & Warranty Policy. Return shipping is paid by the customer.
Unless a product page expressly provides different written terms, products that do not display the 30-day notice are final sale / not eligible for this voluntary 30-day return and warranty program, except to the extent a return, refund, warranty, or other remedy is required by applicable law.
Any written 30-day warranty offered by SVT is a limited warranty, not a “full warranty,” and is subject to the exclusions and procedures stated in the Returns & Warranty Policy. Nothing in these Terms excludes rights that cannot lawfully be waived.
8. Seller Listings
Sellers must own or have authority to sell the listed property; provide truthful, complete, and non-misleading information; disclose known material defects; use accurate photographs; comply with applicable product, export, safety, tax, and consumer laws; and fulfill approved orders. User-submitted product listings remain pending until SVT approves them. SVT may edit formatting, request additional information, reject a listing, remove a listing, or suspend selling privileges.
9. Services and Service Providers
Service providers are independent businesses or individuals and are not employees, agents, partners, or representatives of SVT unless expressly stated in writing. Providers are responsible for qualifications, licenses, insurance, permits, professional standards, deliverables, schedules, safety, confidentiality, and taxes applicable to their services.
Service requests and offers may be moderated by SVT. A provider may receive a customer request only after the request is accepted or routed by SVT under the marketplace workflow. SVT is not responsible for a provider’s engineering judgment, professional advice, workmanship, delay, or failure to perform, except to the extent SVT separately agrees in writing to provide the service.
10. Rentals
Rental listings and requests may be subject to additional rental terms, deposits, inspection requirements, loss or damage responsibility, late charges, calibration or service charges, and return-shipping requirements. If a separate rental agreement is issued, that agreement controls over inconsistent general provisions in these Terms for the rental transaction.
11. Quotes; We Buy; Negotiated Transactions
Quotes are estimates or offers subject to their stated expiration, availability, inspection, payment, shipping, and other conditions. A “We Buy” submission is a request for evaluation and does not obligate SVT to purchase an item. Any direct purchase by SVT is governed by the final written purchase terms agreed with the owner.
12. Prohibited Conduct
You may not use SVT to sell stolen, counterfeit, embargoed, unsafe, illegally exported, recalled, fraudulently labeled, or otherwise unlawful goods or services; bypass fees; manipulate reviews; interfere with the website; introduce malware; scrape or harvest data without authorization; infringe intellectual-property rights; or use the platform for unlawful, deceptive, abusive, or fraudulent activity.
13. Export Controls; Sanctions; Restricted Uses
Users are responsible for compliance with United States export-control and sanctions laws and all applicable destination-country requirements. Certain instruments, components, software, technical data, or services may require authorization before export, reexport, transfer, or use. SVT may refuse, delay, or cancel transactions where compliance cannot be established.
Unless expressly approved for such use by the manufacturer and all required regulatory standards are satisfied, products should not be relied upon as life-support, emergency, human-implant, clinical-diagnostic, or other safety-critical systems where failure could reasonably cause death, personal injury, or severe property or environmental damage.
14. Intellectual Property; User Content
The SVT website, branding, software, layout, original text, and other SVT-created content are protected by applicable intellectual-property laws. Manufacturer names and trademarks belong to their respective owners and are used for identification and compatibility purposes where applicable.
By submitting photographs, descriptions, specifications, reviews, or other content, you represent that you have the right to provide it and grant SVT a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display, and use that content as reasonably necessary to operate, promote, secure, and improve the marketplace and the relevant listing or service.
15. Third-Party Links; Manufacturer Information
Links to manufacturers, manuals, payment providers, carriers, or other third parties are provided for convenience. SVT does not control third-party websites and is not responsible for their content, availability, cybersecurity, pricing, terms, or privacy practices.
16. Disclaimer of Warranties
EXCEPT FOR AN EXPRESS WRITTEN WARRANTY OR RETURN RIGHT SHOWN ON A SPECIFIC LISTING, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, MARKETPLACE FEATURES, THIRD-PARTY LISTINGS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SVT DISCLAIMS WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, INCLUDING WARRANTIES OF ACCURACY, AVAILABILITY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
THE FOREGOING DISCLAIMER DOES NOT LIMIT ANY EXPRESS WRITTEN WARRANTY, IMPLIED WARRANTY, CONSUMER RIGHT, PRODUCT-LIABILITY RULE, OR OTHER OBLIGATION THAT APPLICABLE LAW DOES NOT PERMIT TO BE DISCLAIMED OR LIMITED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAJACK LLC, SVT, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, BUSINESS, OR USE; OR SUBSTITUTE-EQUIPMENT COSTS ARISING FROM OR RELATED TO THE SITE, A LISTING, A TRANSACTION, A THIRD-PARTY SELLER, OR A SERVICE PROVIDER.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SVT’S AGGREGATE LIABILITY ARISING OUT OF A PARTICULAR TRANSACTION WILL NOT EXCEED THE AMOUNT PAID TO SVT FOR THAT TRANSACTION, OR, FOR A CLAIM NOT TIED TO A TRANSACTION, US$100. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
18. Indemnification
To the extent permitted by law, sellers, providers, and other business users agree to defend, indemnify, and hold harmless Neurajack LLC, SVT, and their owners, officers, employees, contractors, and agents from third-party claims, losses, liabilities, penalties, costs, and reasonable attorneys’ fees arising from their listings, products, services, content, infringement, fraud, breach of these Terms, violation of law, or injury or damage caused by their acts or omissions.
19. Dispute Resolution; Arbitration; Class-Action Waiver
Please read this section carefully. Before filing a formal claim, the parties will first attempt in good faith to resolve the dispute informally for at least 30 days after written notice describing the dispute and requested relief.
Except for an individual matter eligible for small-claims court, a claim for public injunctive relief that applicable law does not permit to be waived, or another claim that applicable law requires to remain in court, disputes arising from or relating to these Terms, the website, or a transaction will, to the fullest extent permitted by law, be resolved by binding individual arbitration administered by the American Arbitration Association under the rules applicable to the dispute. The Federal Arbitration Act governs the arbitration provision where applicable.
TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. EACH PARTY WAIVES TRIAL BY JURY FOR CLAIMS SUBJECT TO ARBITRATION.
A user may opt out of this arbitration provision by sending a written opt-out notice through the SVT Support page within 30 days after first accepting these Terms. The notice must include the user’s name, account email, and a clear statement that the user opts out of arbitration. Opting out will not affect the remaining Terms.
20. Governing Law; Venue
Except where federal law controls or applicable law requires otherwise, these Terms are governed by the laws of the State of California without regard to conflict-of-law principles. For disputes that are not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in the county in California where Neurajack LLC maintains its principal place of business, unless applicable law requires another forum.
21. Suspension; Termination
SVT may suspend or terminate access, remove content or listings, hold or cancel transactions, or restrict marketplace privileges when reasonably necessary to investigate fraud, protect users, comply with law or payment-provider requirements, enforce these Terms, or address material risk. Rights and obligations that by their nature should survive termination will survive.
22. Changes to the Terms
SVT may update these Terms from time to time. Material changes will be posted with a revised “Last updated” date and, when required by law, additional notice or renewed consent. Changes do not retroactively alter completed transactions unless permitted by law and agreed by the affected parties.
23. Force Majeure
SVT is not responsible for delay or failure caused by events beyond its reasonable control, including carrier disruptions, natural disasters, labor disputes, utility or Internet failures, cyberattacks, war, terrorism, governmental action, embargoes, epidemics, or supplier failures, except for obligations that applicable law does not permit to be excused.
24. Severability; No Waiver; Assignment; Entire Agreement
If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. Users may not assign their rights or obligations without SVT’s written consent. SVT may assign these Terms in connection with a merger, acquisition, financing, reorganization, or transfer of the relevant business or assets. These Terms, together with incorporated policies and transaction-specific written terms, constitute the agreement governing use of SVT.
